Terms & conditions

Last updated: 24 September 2026

These general terms apply to every quote, agreement and service of Nexus Labs BV, Hundelgemsesteenweg 852, 9820 Merelbeke, Belgium, company and VAT number BE 1006.989.365 (“Nexus Labs”, “we”), and to the use of this website.

1. Scope

These terms apply to all services we provide to a client (“the Client”). They take precedence over the Client’s own terms, unless we agree otherwise in writing. Specific terms in a signed quote, statement of work or framework agreement take precedence over these general terms.

2. Quotes and agreements

Our quotes are valid for 30 days. An agreement is formed when the Client accepts a quote in writing, which includes email, or when we start the work at the Client’s request. Estimates of time and planning are given in good faith and are indicative unless a fixed deadline is expressly agreed.

3. Performance

We perform our services with the care of a professional engineer. Unless expressly agreed otherwise, our obligations are obligations of means, not of result. The Client provides the access, information and feedback we reasonably need in time; delays caused by missing input extend the agreed timelines accordingly.

4. Fees and invoicing

All prices are in euro and exclude VAT. Services are invoiced on a time and materials basis at the agreed day rate, or at the agreed fixed price. Unless agreed otherwise, we invoice monthly in arrears. Pre-approved expenses are invoiced at cost.

5. Payment

Invoices are payable within 30 days of the invoice date. If an invoice is not paid on time, late payment interest is due by law and without prior notice at the rate set by the Belgian Act of 2 August 2002 on combating late payment in commercial transactions, together with a fixed compensation of €40 and any reasonable recovery costs above that amount. After a written reminder, we may suspend the work until all due amounts are paid.

6. Complaints

Complaints about an invoice must reach us in writing within 15 days of the invoice date. Complaints about a deliverable must be reported in writing within 15 days of delivery, with a description of the issue. A complaint does not suspend the payment obligation for undisputed amounts.

7. Intellectual property

Deliverables created specifically for the Client, such as source code and documentation, become the property of the Client once the related invoices are paid in full. We keep ownership of our pre-existing know-how, tools, libraries and generic components; where these are part of a deliverable, the Client receives a non-exclusive, perpetual licence to use them with that deliverable. Open-source components remain subject to their own licences. Unless the Client objects in writing, we may mention the Client’s name as a reference, without disclosing confidential details.

8. Confidentiality

Both parties keep confidential all non-public information they receive from each other in connection with the agreement, and use it only to perform the agreement. This obligation continues for three years after the agreement ends. It does not apply to information that is public, was already known, or must be disclosed by law.

9. Liability

Our liability is limited to direct damage and, per event or series of related events, to the amount invoiced for the engagement concerned in the twelve months before the event. We are not liable for indirect or consequential damage, such as lost profit, lost revenue, loss of data or damage caused by third-party software or infrastructure. These limitations do not apply to fraud or intentional misconduct, or where the law does not allow them.

10. Force majeure

Neither party is liable for a failure caused by circumstances beyond its reasonable control. The affected party informs the other without delay. If the situation lasts longer than 60 days, either party may end the agreement in writing without compensation, except for work already performed.

11. Duration and termination

Unless agreed otherwise, either party may end an ongoing engagement with 30 days’ written notice. Either party may end the agreement with immediate effect if the other party seriously breaches it and does not remedy the breach within 15 days of a written notice. On termination, the Client pays for all work performed up to the end date.

12. Use of this website

The content of this website is provided for information only and may change without notice. All texts, designs and code on this website are protected by intellectual property rights and may not be reused without our permission. How we handle personal data is explained in our privacy policy.

13. Consumers

Our services are aimed at businesses. If a Client acts as a consumer, the mandatory consumer protection rules of Belgian law apply and prevail over these terms where they differ.

14. Applicable law and disputes

These terms and every agreement with Nexus Labs are governed by Belgian law. Any dispute that cannot be settled amicably falls under the exclusive jurisdiction of the courts of Ghent, division Ghent.
